Pre-Requisites. For the successful and secure delivery of the Services, the following pre-requisites apply: • Supplier work can only start after a nominated support contact has assigned the request to the Supplier with the relevant Customer authorisation. • The Customer is responsible for ensuring that passwords and access rights to the Customer network and applications relevant to perform the services are valid and current in line with the service to be provided. • The Customer agrees that the Supplier may access the content on the applications as required to perform the services defined in this document. • The Supplier staff have full functional developer access on any Fix on Fail / Test environment. • The Supplier will take all necessary measures to ensure that all equipment and software used by the Supplier personnel to provide the Services to the Customer comply with the site security measures. Supplier equipment, including consultants’ PCs, network equipment, and Supplier servers, is protected with recent, adapted, up-to-date and regularly patched antivirus. • The Supplier must notify the Customer immediately of any security incidents or breaches identified by the Supplier that could impact in any way on the Customer IT environment. • The Customer and the Supplier shall comply with all applicable Data Protection legislation and regulation. The Customer is responsible for the following specific items: • Providing secure access for network/application/system to the Supplier support team performing the service. • Identifying, agreement of and documenting owners of User ID security. • Managing access control for application user identifications.

Interactive Waitlist, Interactive Frequent Traveler Name and Number Verification, and Interactive Seat Selection require participation in Direct Sell.

  • Prior Approvals This Contract shall not be binding unless and until all requisite prior approvals have been obtained in accordance with current State law, bulletins, and interpretations.

  • Prior Approval Required Consultant shall not subcontract any portion of the work required by this Agreement, except as expressly stated herein, without prior written approval of City. Subcontracts, if any, shall contain a provision making them subject to all provisions stipulated in this Agreement.

  • Disclosure Requirements (a) The Estate Agent or Salesperson *has / does not have(1) (11) a conflict or potential conflict of interest in acting for the Tenant. If the Estate Agent or Salesperson has a conflict or potential conflict of interest, the details are as follows: (b) If the Estate Agent or Salesperson has declared that there is no conflict or potential conflict of interest but a conflict or potential conflict of interest only arises (or he becomes aware of the conflict or potential conflict of interest) after the execution of this Agreement, the conflict or potential conflict of interest must be immediately disclosed in writing to the Tenant. Upon such disclosure, the Estate Agent and Salesperson may continue to act for the Tenant only if the Tenant, being fully informed, consents in writing to the Estate Agent and Salesperson continuing to act for him.

  • Project Approvals The Borrower will promptly obtain all Project approvals not heretofore obtained by the Borrower (including those listed and described on ­Exhibit “N” hereto and any other Project Approvals which may hereaf­ter become required, necessary or desirable) and will furnish the Lender with evidence that the Borrower has obtained such Project Approvals promptly upon its request. The Borrower will give all such notices to, and take all such other actions with respect to, such Governmental Authority as may be required under applicable Requirements to construct the Improvements and to use, occupy and operate the Project following the completion of the construction of the Improvements. The Borrower will also promptly obtain all utility installations and connections required for the operation and servicing of the Project for its intended purposes, and will furnish the Lender with evidence thereof. The Borrower will duly perform and comply with all of the terms and conditions of all Project Approvals obtained at any time, including all Project Approvals listed and described on Exhibit “Q” hereto.
