Section 5.24 Change in Customers or Vendors Section 6.01 Covenants of the Company and Intracel Parent AGREEMENT AND PLAN OF REORGANIZATION AGREEMENT AND PLAN OF REORGANIZATION, dated as of November 26, 1997, by and among PerImmune Holdings, Inc., a Delaware corporation (the "COMPANY"), Intracel Corporation, a Delaware corporation ("INTRACEL PARENT"), and Intracel Acquisition Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Intracel Parent ("INTRACEL ACQUISITION SUB").
Predominant Customers. Except as set forth on Section 4.22 of the Company Disclosure Schedule, no single customer of the Company or the Subsidiary accounts or accounted for over five percent (5%) of the total consolidated revenues of the Company and the Subsidiary (the "COMPANY DOLLAR THRESHOLD") during the twelve month period immediately preceding the date of this Agreement.
