Significant Customers. The COMPANY has delivered to VPI an accurate list (which is set forth on Schedule 5.15) of (i) all significant customers, it being understood and agreed that a "significant customer," for purposes of this Section 5.15, means a customer (or person or entity) representing 5% or more of the COMPANY's annual revenues as of the Balance Sheet Date. Except to the extent set forth on Schedule 5.15, none of the COMPANY's significant customers (or persons or entities that are sources of a significant number of customers) have canceled or substantially reduced or, to the knowledge of the COMPANY, are currently attempting or threatening to cancel a contract or substantially reduce utilization of the services provided by the COMPANY.

Significant Customers. Schedule 4.11 lists each customer who represented 10% or more of the sales of the Company or of any Subsidiary during the calendar year ended June 30, 2011 (each, a “Significant Customer“) and the percentage of the Company’s total revenues such Significant Customer represented during such period. The Company has no outstanding material dispute concerning its business operations with any Significant Customer. No Significant Customer has given notice to the Company, whether orally or in writing, that such customer shall not continue as a customer of the Company after Closing or that such customer intends to terminate or materially modify existing agreements with the Company at any time.
Significant Customers. Part 3.14 of the Parent Disclosure Schedule sets forth a complete and accurate list of all Parent's Significant Customers. For purposes of this Agreement, "Parent's Significant Customers" are the twenty (20) customers of the Parent that have effected the most purchases, in dollar terms, and accounted for the most revenues, in dollar terms, during the fiscal year ended December 31, 1997. None of the Parent's Significant Customers has canceled, returned or substantially reduced or, to the knowledge of the Parent, is currently attempting or threatening to cancel, return or substantially reduce, any purchases from, orders to or services provided by the Parent. Significant Customers. Partner Company has delivered to Founder an accurate list (which is set forth in Section 4.15 of Partner Company Disclosure Schedule) of all significant customers, or persons or related groups of persons that are sources of a significant number of customers, it being understood and agreed that a “significant customer,” for purposes of this Section 4.15, means a customer (or persons or related groups of persons) representing 5% or more of the Subject Partner Companies’ combined revenues during the twelve calendar months next preceding the Balance Sheet Date. Except to the extent set forth in Section 4.15 of Partner Company Disclosure Schedule, none of the Subject Partner Companies’ significant customers (or persons or related groups of persons that are sources of a significant number of customers) has canceled or substantially reduced or, to the knowledge of Partner Company or Partner Company Stockholder, is currently attempting or threatening to cancel a contract or substantially reduce utilization of the services provided by a Subject Partner Company.
Significant Customers. Section 3.21 of the Company Disclosure Letter lists the 10 largest customers of the Company on a blind basis based on aggregate gross sales in 2009 (the “Significant Customers”), and the approximate dollar amount of such aggregate gross sales during 2009. Except as set forth on Section 3.21 of the Company Disclosure Letter, since December 31, 2009, none of the Significant Customers has terminated its relationship with the Company, and none of the Significant Customers has notified Seller or the Company that it intends to terminate its relationship with the Company. Except as set forth on Section 3.21 of the Company Disclosure Letter, and other than any reductions resulting from the acquisition by a third party of a Significant Customer after the date hereof, since December 31, 2009, the Significant Customers have not, as a group, materially reduced their aggregate business with the Company nor has Seller or the Company been notified by a Significant Customer of its intention to reduce its business with the Company such that, together with any such notices received from other Significant Customers, there would be a material reduction in the aggregate business of the Significant Customers.

Significant Customers. Promptly (and in any event within five (5) days) after becoming aware thereof, any notice or indication (i) that any Significant Customer (as defined below) intends to terminate, significantly reduce or otherwise alter in an adverse manner its relationship with any Loan Party, or (ii) of the termination or potential termination of any other material contract, lease or relationship with any Significant Suppliers (as defined below). For purposes of this Agreement: (x) “Significant Customer” shall mean, at any time, any of the five (5) largest customers of any Loan Party, measured in terms of sales volume in dollars for the then immediately preceding fiscal year and (y) “Significant Supplier” shall mean any of the top five (5) largest suppliers of any Loan Party measured in terms of sales volume in dollars for the then immediately preceding fiscal year.
Significant Customers. Set forth on Schedule 2.12 is a true and correct list of the Company's ten largest customers for the most recent 12-month period ending December 31, 1996, together with the amount of services attributable to such customers expressed in dollars and as a percentage of Company's total sales and services for such period. None of the customers identified on Schedule 2.12 has terminated, materially reduced or, to the knowledge of Sellers, threatened to terminate or materially reduce its request for services of the Company during the period covered by such schedule. All contracts with customers identified on Schedule 2.12 are profitable contracts.
