Preferred Assignments Clause Samples
The Preferred Assignments clause establishes the conditions under which one party may assign its rights or obligations under the agreement to another party, often specifying a preference for certain assignees or assignment scenarios. In practice, this clause might allow assignments to affiliates, subsidiaries, or pre-approved third parties without requiring additional consent, while restricting assignments to other entities unless specific criteria are met. Its core function is to provide flexibility for business restructuring or internal transfers while maintaining control over who may assume contractual responsibilities, thereby reducing uncertainty and protecting the interests of the non-assigning party.
