Common use of Preparation of Pricing Supplements Clause in Contracts

Preparation of Pricing Supplements. The Company and the Trust will prepare, with respect to any Notes to be sold to or through one or more Dealers pursuant to this Distribution Agreement, a Pricing Supplement with respect to such Notes in a form approved by the Dealer(s). The Company and Trust will deliver such Pricing Supplement no later than 1:00 p.m., New York City time, on the business day following the date of the Company's and Trust's acceptance of the offer for the purchase of such Notes and will file such Pricing Supplement pursuant to Rule 424(b)(3) under the 1933 Act.

The Company and Trust will deliver such Pricing Supplement no later than 1:00 p.m., New York City time, on the business day following the date Time of the Company's and Trust's acceptance of the offer for the purchase Sale of such Notes and will file such Pricing Supplement pursuant to Rule 424(b)(3424(b) under the 1933 Act.
