Common use of Preparation of Pricing Supplements Clause in Contracts

Preparation of Pricing Supplements. The Company will prepare, with respect to any Notes to be sold through or to the Agents pursuant to this Agreement, a Pricing Supplement with respect to such Notes in a form previously approved by the Agents. The Company will deliver such Pricing Supplement to the applicable Agent(s) no later than 11:00 am, New York City time, on the business day following the date of the Company's acceptance of the offer for the purchase of such Notes and will file such Pricing Supplement pursuant to the applicable clause of Rule 424(b) under the 1933 Act in accordance with the prescribed time period therein.
