Common use of Preservation of Information; Communications to Holders Clause in Contracts

Preservation of Information; Communications to Holders. (a) The Purchase Contract Agent shall preserve, in as current a form as is reasonably practicable, the names and addresses of Holders received by the Purchase Contract Agent in its capacity as Security Registrar. (b) If three or more Holders (herein referred to as “Applicants”) apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant has owned a Unit for a period of at least six months preceding the date of such application, and such application states that the Applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units and is accompanied by a copy of the form of proxy or other communication which such Applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing.

(b) If three or more Holders (herein referred to as “Applicants”"APPLICANTS") apply in writing to the Purchase Contract Warrant Agent, and furnish to the Purchase Contract Warrant Agent reasonable proof that each such Applicant applicant has owned a Unit Security for a period of at least six months preceding the date of such application, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units Securities and is accompanied by a copy of the form of proxy or other communication which such Applicants applicants propose to transmit, then the Purchase Contract Warrant Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Warrant Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing.

(b) If three or more Holders owning not less than 25% of the Outstanding Equity Units (herein referred to as “Applicants”) apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant has owned a Unit Equity Units for a period of at least six months preceding the date of such application, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Equity Units and is accompanied by a copy of the form of proxy or other communication which such Applicants applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing.

(b) If three or more Holders (herein referred to as “"Applicants”") apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant applicant has owned a Unit an Upper DECS or Stripped DECS, as the case may be, for a period of at least six months preceding the date of such application, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units Upper DECS or Stripped DECS, as the case may be, and is accompanied by a copy of the form of proxy or other communication which such Applicants applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision provision, in the absence of bad faith, satisfactory to the Agent for the payment, of the reasonable expenses of such mailing.

(a) The Purchase Contract Agent shall preserve, in as current a form as is reasonably practicable, the names and addresses of Holders received by the Purchase Contract Agent in its capacity as Security Registrar. (b) If three or more Holders (herein referred to as “Applicantsapplicants”) apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant applicant has owned a Unit Security for a period of at least six months preceding the date of such application, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units Securities and is accompanied by a copy of the form of proxy or other communication which such Applicants applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing.

Preservation of Information; Communications to Holders. (a) The Purchase Contract Warrant Agent shall preserve, in as current a form as is reasonably practicable, the names and addresses of Holders received by the Purchase Contract Warrant Agent in its capacity as Security Registrar. (b) If three or more Holders (herein referred to as “Applicants”"APPLICANTS") apply in writing to the Purchase Contract Warrant Agent, and furnish to the Purchase Contract Warrant Agent reasonable proof that each such Applicant applicant has owned a Unit for a period of at least six months preceding the date of such application, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units and is accompanied by a copy of the form of proxy or other communication which such Applicants applicants propose to transmit, then the Purchase Contract Warrant Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Warrant Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing.

Preservation of Information; Communications to Holders. (a) The Purchase Contract Agent shall preserve, in as current a form as is reasonably practicable, the names and addresses of Holders received by the Purchase Contract Agent in its capacity as Security Registrar. (b) If three or more Holders (herein referred to as “"Applicants”") apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant applicant has owned a Unit Equity Units or Stripped Equity Units, as the case may be, for a period of at least six months preceding the date of such application, and such application states that the Applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Equity Units or Stripped Equity Units, as the case may be, and is accompanied by a copy of the form of proxy or other communication which such Applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision provision, in the absence of bad faith, satisfactory to the Agent for the payment, of the reasonable expenses of such mailing.

Preservation of Information; Communications to Holders. (a) The Purchase Contract Agent shall preserve, in as current a form as is reasonably practicable, the names and addresses of Holders received by the Purchase Contract Agent in its capacity as Security Registrar. (ba) If three or more Holders (herein referred to as “Applicants”) apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant has owned a Unit for a period of at least six months preceding the date of such application, and such application states that the Applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units and is accompanied by a copy of the form of proxy or other communication which such Applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing.

Preservation of Information; Communications to Holders. (a) The Purchase Contract Agent shall preserve, in as current a form as is reasonably practicable, the names and addresses of Holders as received by the Purchase Contract Agent in its capacity as Security Registrar. (b) If three or more Holders (herein referred to as “Applicantsapplicants”) apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant applicant has owned a Unit Purchase Contract for a period of at least six months preceding the date of such application, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units Purchase Contracts and is accompanied by a copy of the form of proxy or other communication which that such Applicants applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies of the form of proxy or other communication which that is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing, which expenses shall be promptly reimbursed to the Purchase Contract Agent by the Company.

(b) If three or more Holders (herein referred to as “Applicants”"applicants") apply in writing to the Purchase Contract Agent, and furnish to the Purchase Contract Agent reasonable proof that each such Applicant applicant has owned a Unit Units for a period of at least six months preceding the date of such application, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Units and is accompanied by a copy of the form of proxy or other communication which such Applicants applicants propose to transmit, then the Purchase Contract Agent shall mail to all the Holders copies coUnits of the form of proxy or other communication which is specified in such request, with reasonable promptness after a tender to the Purchase Contract Agent of the materials to be mailed and of payment, or provision for the payment, of the reasonable expenses of such mailing.
