Preservation Restriction. The Grantor grants to the Grantee the right to forbid or limit: a. any alteration to the exterior appearance, materials, workmanship, condition or structural stability of the Building unless (i) clearly of minor nature and not affecting the characteristics which contribute to the architectural or historical integrity of the Building , or (ii) the Grantee, after reviewing plans and specifications submitted by the Grantor in accordance with the requirements of paragraph 7, has previously determined that such alteration will not impair such characteristics, which determination shall not be unreasonably withheld or delayed, or (iii) required by casualty or other emergency promptly reported to Grantee in accordance with the requirements of paragraph 9. For the purposes of this Agreement, interpretation of what constitutes alterations “of a minor nature” and “ordinary maintenance and repair is governed by the Restriction Guidelines, which are attached hereto as Exhibit C and incorporated herein by reference; b. any other act or use that may be harmful to the historic preservation of the Building.
