Common use of Press Releases and Public Announcements Clause in Contracts

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure).

Press Releases and Public Announcements. No Party party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Partyparty; provided, however, that LandCARE may issue a press release in accordance with its customary practices without such approval and any Party party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure)securities.

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement prior to the Closing without the prior written approval of the other Party; provided, however, that any either Party may make any public disclosure it believes in good faith is required by applicable law law, the regulations of the SEC, or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise consult the other Party prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyParties; provided, however, that any Party may make any public disclosure it believes in good faith which is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party in writing at least ten (10) days prior to making the disclosure).

The Parties agree to prepare and issue mutually acceptable press releases on or promptly after the Closing announcing the transactions contemplated hereby.

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its or its Affiliates' publicly-traded securities (in which case the disclosing Party will shall use its all reasonable best efforts to advise the other Party, and give the other Party an opportunity to comment on the proposed disclosure, prior to making the disclosure).
