Common use of Press Releases and Public Announcements Clause in Contracts

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure).

Press Releases and Public Announcements. No Party party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Partyparty; provided, however, that LandCARE may issue a press release in accordance with its customary practices without such approval and any Party party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure)securities.

Press Releases and Public Announcements. Press Releases and Public Announcements. No Party party shall issue any press release or make any public announcement relating to the subject matter of this Agreement or the Transaction prior to the Closing without the prior written approval of the other Partyparties; provided, however, that any Party party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (law, in which case the disclosing Party will use its reasonable best efforts to party shall advise the other Party party and consult with the legal counsel of such other party prior to making the disclosure).

No Neither Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any either Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyBuyer and Target; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyParties; provided, however, that any Party may make any public disclosure it believes in good faith which is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party in writing at least ten (10) days prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyBuyer and the Company; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement SPA without the prior written approval of the other Party, whose approval shall not be unreasonably delayed or withheld; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise provide the other Party prior with the opportunity to making the review in advance any such disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyBrokat and Xxxxxx; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-publicly- traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement prior to or following the Closing without the prior written approval of the other PartyParties; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (Legal Requirements, in which case the disclosing Party will use its reasonable best efforts to advise shall consult with the other Party party prior to making such disclosure, and the disclosure)parties shall use commercially reasonable efforts, acting in good faith, to agree upon a text for such disclosure which is satisfactory to both parties.

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement prior to the Closing without the prior written approval of the other Party; provided, however, that any either Party may make any public disclosure it believes in good faith is required by applicable law including, with respect to Seller, any necessary filings and disclosures under Form 8-K or any listing or trading agreement concerning its publicly-traded securities (in which case other filings that may be required under the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure)Securities Exchange Act of 1934, as amended.

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement prior to the Closing without the prior written approval of MLC and the other PartyRepresentative; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement prior to the Closing without the prior written approval of the other Party; provided, however, that any Party or any affiliate of such Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party which intends, or which has an affiliate that intends, to issue such press release or make such public announcement will use its reasonable best efforts to advise the other Party prior to making the disclosuredisclosure and provide the other Party opportunity to comment upon the release or announcement).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any Party the Buyer may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party Buyer will use its reasonable best efforts to advise the other Party Seller prior to making the disclosure).
