Common use of Prevention or Delay in Performance by the Sponsor or the Trustee Clause in Contracts

Prevention or Delay in Performance by the Sponsor or the Trustee. Neither the Sponsor nor the Trustee nor any of their respective directors, employees, agents or affiliates shall incur any liability to any Registered Owner, Beneficial Owner or Depositor if, by reason of any provision of any present or future law or regulation of the United States or any other country, or of any governmental or regulatory authority or stock exchange, or by reason of any act of God or war or terrorism or other circumstances beyond its control, the Sponsor or the Trustee is prevented or forbidden from, or would be subject to any civil or criminal penalty on account of, or is delayed in, doing or performing any act or thing which by the terms of this Agreement it is provided shall be done or performed and accordingly the Sponsor or the Trustee does not do that thing or does that thing at a later time than would otherwise be required. The Sponsor and the Trustee will not incur any liability to any Registered Owner or Beneficial Owner or Depositor by reason of any non-performance or delay in the performance of any act or thing which by the terms of this Agreement it is provided may be done or performed, or by reason of any exercise of, or failure to exercise, any discretion provided for in this Agreement.

The Neither the Sponsor and nor the Trustee will not incur any liability to any Registered Owner or Beneficial Owner Owner, Authorized Participant or Depositor by reason of any non-performance or delay in the performance of any act or thing which that, by the terms of this Agreement Trust Agreement, it is provided may be done or performed, or by reason of any exercise of, or failure to exercise, any discretion provided for in this Trust Agreement.

The To the fullest extent permitted by law, neither the Sponsor and nor the Trustee will not incur any liability to any Registered Owner or Beneficial Owner Owner, Authorized Participant or Depositor by reason of any non-performance or delay in the performance of any act or thing which that, by the terms of this Agreement Trust Agreement, it is provided may be done or performed, or by reason of any exercise of, or failure to exercise, any discretion provided for in this Trust Agreement.
