Common use of Price Determination Clause in Contracts

Price Determination. Pursuant to the Datang Matou Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB240 per mwh (inclusive of tax); and ii) settled by Datang Matou in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Matou Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 72,000,000.

Price Determination. Pursuant to the Datang Matou Weishui Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB240 RMB260 per mwh (inclusive of tax); and ii) settled by Datang Matou Weishui in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Matou Weishui Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 72,000,00078,000,000.

Pursuant to the Datang Matou Fuyuan Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB240 RMB250 per mwh (inclusive of tax); and ii) settled by Datang Matou Fuyuan Electricity in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Matou Fuyuan Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 72,000,00030,000,000.

Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Matou Baoding Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 72,000,000234,000,000.

Pursuant to the Datang Matou Chentang Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB240 RMB250 per mwh (inclusive of tax); and ii) settled by Datang Matou Chentang Heat Electricity in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Matou Chentang Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 72,000,000120,000,000.

Pursuant to the Datang Matou Guohua Dingzhou Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB240 RMB245 per mwh (inclusive of tax); and ii) settled by Datang Matou Xxxxx Xxxxxxx in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Matou Guohua Dingzhou Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 72,000,000269,500,000.

Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Matou Guohua Cangdong Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 72,000,000612,500,000.
