Common use of Price Determination Clause in Contracts

Price Determination. Pursuant to the Datang Weishui Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB260 per mwh (inclusive of tax); and ii) settled by Datang Weishui in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Weishui Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 78,000,000.

Price Determination. Pursuant to the Datang Weishui Matou Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB260 RMB240 per mwh (inclusive of tax); and ii) settled by Datang Weishui Matou in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Weishui Matou Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 78,000,00072,000,000.

Pursuant to the Datang Weishui Guohua Cangdong Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB260 RMB245 per mwh (inclusive of tax); and ii) settled by Datang Weishui Xxxxx Xxxxxxx in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Weishui Guohua Cangdong Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 78,000,000612,500,000.

Pursuant to the Datang Weishui Baoding Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB260 per mwh (inclusive of tax); and ii) settled by Datang Weishui Baoding in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Weishui Baoding Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 78,000,000234,000,000.

Pursuant to the Datang Weishui Guohua Dingzhou Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB260 RMB245 per mwh (inclusive of tax); and ii) settled by Datang Weishui Xxxxx Xxxxxxx in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Weishui Guohua Dingzhou Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 78,000,000269,500,000.

Price Determination. Pursuant to the Datang Weishui Chentang Power Generation Trading Agreement, the substitution fees shall be i) determined by reference to substituted electricity volume and at the price of RMB260 RMB250 per mwh (inclusive of tax); and ii) settled by Datang Weishui Chentang Heat Electricity in cash on a monthly basis. Based on assumed growth of the electricity generation business of the Group and the Group’s electricity generation capacity, the Company has set a cap on substitution fees receivable under the Datang Weishui Chentang Power Generation Trading Agreement for the year ending 31 December 2009 at RMB 78,000,000120,000,000.
