Registered Office/Agent The name and location of the registered agent will be as stated in the Company’s formation documents and complies with Section 605.0113 of the Act. Pursuant to Section 605.0410 of the Act, the Members are obligated to maintain and update the business records on file with the Company’s registered agent.

The registered agent of the Company in the State of Delaware shall be the initial registered agent named in the Delaware Certificate or such other Person or Persons as the Management Committee may designate in the manner provided by Law. The principal office of the Company in the United States shall be at such place as the Management Committee may designate, which need not be in the State of Delaware, and the Company shall maintain records there or such other place as the Management Committee shall designate and shall keep the street address of such principal office at the registered office of the Company in the State of Delaware.
