Principal obligations of Supplier. 2.1.1. The Supplier agrees to: a. provide the Supplies as specified in Item 2 of Schedule 1; b. provide the consequential services specified in Item 2.1 of Schedule 1;‌ c. provide to the High Court the Material specified in Item 2.2 of Schedule 1; d. adopt relevant best practice and comply with all applicable Australian standards, including those specified in Item 8 of Schedule 1, industry standards and guidelines and any High Court or Commonwealth policies, standards or guidelines specified in Item 8 of Schedule 1;‌ e. comply with the timeframe specified in Item 9 of Schedule 1; f. comply with the High Court’s Site Terms and Conditions at all times while providing the Supplies, except to the extent that they are inconsistent with an express term of this contract (including the Statement of Requirements); g. comply with the Statement of Requirements; h. comply with the permitted working hours as specified in Item 29 of Schedule 1;‌ i. where the Supplies include the supply of goods: i. carry out, or arrange the carrying out of any calculations, analysis, testing or examination to ensure the Supplies are without risk to health and safety of persons; ii. deliver the Supplies at the Delivery Time and to the Delivery Point specified in Items 3 and 4 of Schedule 1 or as otherwise directed by the High Court; iii. mark the Supplies in accordance with Item 5 of Schedule 1 or as otherwise directed by the High Court and any applicable regulations or requirements of the carrier, and to properly pack and secure the Supplies so that they reach the Delivery Point undamaged; iv. comply with all applicable regulations or other legal requirements concerning the Manufacture, packaging, packing and delivery of the Supplies; v. comply with all manufacturer’s requirements in relation to the transport and if applicable installation of the Supplies; and vi. provide all manufacturer’s warranties in relation to the Supplies; j. submit invoices, and any required supporting documents, in the manner specified in Item 10 of Schedule 1;‌

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • Definitions As used in this Agreement, the following terms shall have the following meanings:

  • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and
