Principal Place of Business; Business Activities. (a) Each Loan Party shall not change its principal place of business from the State of California and shall not maintain any place of business outside of the State of California respectively unless it has given at least thirty (30) days’ prior notice thereof to the Administrative Agent and the Collateral Agent, and each Loan Party has taken all steps then required pursuant to the Security Documents to ensure the maintenance and perfection of the security interests created or purported to be created thereby. Each Loan Party shall maintain at its principal place of business originals or copies of its principal books and records.

(a) Each Loan Party shall maintain its principal place of business at the address specified in Section 10.01, and no Loan Party shall change such principal place of business unless it has given at least thirty (30) days’ prior notice thereof to the Administrative Agent and the Collateral Agent and such Loan Party has taken all steps then required pursuant to the Security Agreements to ensure the maintenance and perfection of the security interests created or purported to be created thereby. (a) Each Note Party shall not, nor shall it permit any of its Subsidiaries to, change its principal place of business (except within its respective jurisdiction of organization) unless it has given notice thereof within ten (10) Business Days prior to such change to the Administrative Agent, and each Note Party has taken all steps then required pursuant to the Security Documents to ensure the maintenance and perfection of the security interests created or purported to be created thereby in relation to such change.

(a) BKRF will not, and will not permit any other RCF Loan Party to, change its principal place of business from the State of California or maintain any place of business outside of the State of California respectively unless it has given at least thirty (30) days’ prior notice thereof to Vitol, and each RCF Loan Party has taken all steps then required pursuant to the RCF Security Documents to ensure the maintenance and perfection of the security interests created or purported to be created thereby. BKRF shall, and shall cause each other RCF Loan Party to, maintain at its principal place of business originals or copies of its principal books and records.

(a) Each Loan Party shall, and shall cause each Subsidiary of a Loan Party to, maintain its principal place of business in the State of Texas or the State of Louisiana, and no Loan Party shall, or shall permit any Subsidiary of a Loan Party to, maintain any place of business outside of the State of Texas or the State of Louisiana unless it has given at least 30 days’ prior notice thereof to the Administrative Agent and the Collateral Agent, and Tellurian and each Loan Party has taken all steps then required pursuant to the Pledge Agreement and the Security Agreement to ensure the maintenance and perfection of the security interests created or purported to be created thereby. Each Loan Party shall maintain at its principal place of business originals or copies of its principal books and records.

(a) Neither Borrower nor Pledgor shall change its principal place of business from the State of Indiana or its jurisdiction of organization from the State of Delaware unless it has given at least thirty (30) days’ prior notice thereof to the Collateral Agent (or such shorter period as may be reasonably agreed to by Collateral Agent), and Borrower has taken all steps then required pursuant to the Security Documents to ensure the maintenance and perfection of the security interests created or purported to be created thereby. Borrower shall maintain at its principal place of business originals or copies of its principal books and records.
