Principles Relating to Distribution Formula. In updating from time to time the Distribution Formula, the PTOs or the Partnership, as applicable, shall ensure that the Distribution Formula is fair and equitable to all Eligible First Nations. For example, the Distribution Formula will be applied in a manner that does not create a disincentive to two or more Eligible First Nations aggregating, forming centralized governance structures or otherwise combining or consolidating governance into a single legal entity.

  • Venue Limitation for TIPS Sales Vendor agrees that if any "Venue" provision is included in any TIPS Sale Agreement/contract between Vendor and a TIPS Member, that clause must provide that the "Venue" for any litigation or alternative dispute resolution shall be in the state and county where the TIPS Member operates unless the TIPS Member expressly agrees otherwise.
