Common use of Prior Notice to Certificateholders with Respect to Certain Matters Clause in Contracts

Prior Notice to Certificateholders with Respect to Certain Matters. The Trustee shall not take action with respect to the following matters, unless (a) the Trustee shall have notified the Certificateholders in writing of the proposed action at least 30 days before the taking of such action, (b) no Certificateholders shall have notified the Trustee in writing prior to the 30th day after such notice is given that such Certificateholders have withheld consent or provided alternative direction, or, if any such Certificateholders have so withheld consent or provided alternative direction, a majority, as specified in Section 5.3 hereof, shall have notified the Trustee in writing prior to such 30th day that they have consented to such action, and (c) the Rating Agency Condition is satisfied:
