Common use of Prior to Expiration of Term Clause in Contracts

Prior to Expiration of Term. This Section shall govern any termination of this Agreement except as specifically provided in the following Section for termination for cause. District may, with or without cause, terminate this Agreement upon fifteen (15) days’ written notice to Consultant, except that where termination is due to the fault of the Consultant, the period of notice may be such shorter time as may be determined by the District in its sole discretion. In addition, Consultant may terminate this Agreement at any time, with or without cause, upon thirty (30) days’ written notice to District. Upon receipt of any notice of termination, Consultant shall immediately cease all services hereunder except such as may be specifically approved by the District, or otherwise required by law. Except where the Consultant has initiated termination, Consultant shall be entitled to compensation for services performed prior to the effective date of notice of termination; provided, however, that District may condition payment of such compensation upon satisfactory completion of the services or portion thereof which Consultant has performed through the effective date of termination.
