Prior to Offering Completion. The release and return of all deposited subscription proceeds (including accrued interest thereon) to subscribers, in the event the Company decides, in its sole discretion, to terminate the Offering prior to, or if the Company has not certified to the Escrow Agent that it has raised at least Twenty Million Dollars ($20,000,000) by, the Offering Completion Date (July 1, 2006);
