Priorities not affected. Except as otherwise provided in this Agreement the priorities referred to in Clause 2 (Ranking and Priority) will:
(a) not be affected by any reduction or increase in the principal amount secured by the Transaction Security in respect of the Liabilities owing to the Primary Creditors or by any intermediate reduction or increase in, amendment or variation to any of the Debt Documents, or by any variation or satisfaction of, any of the Liabilities or any other circumstances;
(b) apply regardless of the order in which or dates upon which this Agreement and the other Debt Documents are executed or registered or notice of them is given to any person; and
(c) secure the Liabilities owing to the Primary Creditors in the order specified, regardless of the date upon which any of the Liabilities arise or of any fluctuations in the amount of any of the Liabilities outstanding.
Priorities not affected. Except as otherwise provided in this Deed the priorities referred to in Clause 2 (Priority and Ranking) will:
(a) not be affected by any reduction or increase in the principal amount secured by the Shared Security in respect of the obligations or liabilities owed by the Debtor to the Primary Creditors or by any intermediate reduction or increase in, amendment or variation to any of the Debt Documents, or by any variation or satisfaction of, any of the obligations or liabilities owed the Debtor to the Primary Creditors or any other circumstances;
(b) apply regardless of the order in which or dates upon which this Deed and the other Debt Documents are executed or registered or notice of them is given to any person; and
(c) secure the obligations or liabilities owed by the Debtor to the Primary Creditors in the order specified, regardless of the date upon which any of those liabilities or obligations arose or of any fluctuations in the amount of any of such outstanding liabilities or obligations.
Priorities not affected. Except as otherwise provided in this Agreement, the priorities referred to in Clause 2 (Ranking and priority) will:
(a) not be affected by any reduction or increase in the principal amount secured by the Transaction Security in respect of the Liabilities owing to the Primary Creditors or Operating Facility Lenders by any intermediate reduction or increase in, amendment or variation to any of the Debt Documents, or by any variation or satisfaction of any of the Liabilities or any other circumstances;
(b) apply regardless of the order in which or dates upon which this Agreement and the other Debt Documents are executed or registered or notice of them is given to any person; and
(c) secure the Liabilities owing to the Primary Creditors and the Operating Facility Lenders in the order specified, regardless of the date upon which any of the Liabilities arise or of any fluctuations in the amount of any of the Liabilities outstanding. A44420063

32.2.1 not be affected by any reduction or increase in the principal amount secured by the Transaction Security in respect of the Liabilities of the Creditors or by any intermediate reduction or increase in, amendment or variation to any of the Finance Documents, or by any variation or satisfaction of, any of the Liabilities or any other circumstances;
32.2.2 apply regardless of the order in which or dates upon which the Finance Documents and this Agreement are executed or registered or notice of them is given to any person; and
32.2.3 secure the Liabilities of the Creditors in the order specified, regardless of the date upon which any of the Liabilities arise or of any fluctuations in the amount of any of the Liabilities outstanding.
Priorities not affected. Except as otherwise provided in this Agreement the priorities referred to in Clause 2 (Ranking and Priority) will:
(a) not be affected by any reduction or increase in the principal amount secured by the Transaction Security in respect of the Liabilities owing to the Primary Creditors or by any intermediate reduction or increase in, amendment or variation to any of the Debt Documents, or by any variation or satisfaction of, any of the Liabilities or any other circumstances;
Priorities not affected. Except as otherwise provided in this Deed the priorities referred to in Clause 2 (Ranking and Priority) and Clause 8 (Application of Proceeds) will:
19.4.1 not be affected by any reduction or increase in the principal amount secured by the Collateral in respect of the Secured Obligations of the Lenders or by any intermediate reduction or increase in, amendment or variation to any of the Transaction Documents, or by any variation or satisfaction of, any of the Secured Obligations or any other circumstances;
19.4.2 apply regardless of the order in which or dates upon which the Transaction Documents and this Deed are executed or registered or notice of them is given to any person; and
19.4.3 secure the Secured Obligations in the order specified, regardless of the date upon which any of the Secured Obligations arise or of any fluctuations in the amount of any of the Secured Obligations outstanding.
Priorities not affected. Except as otherwise provided in this Agreement the priorities referred to in Clause 2 (Priorities) will:
(a) not be affected by any reduction or increase in the principal amount of the Senior Liabilities or by any intermediate reduction or increase in, amendment or variation to any of the Senior Finance Documents, or by any variation or satisfaction of, any of the Senior Liabilities or any other circumstances;
(b) apply regardless of the order in which or dates upon which this Agreement, any Senior Finance Document and any Subordinated Debt Document are executed or registered or notice of them is given to any person; and
(c) postpone and subordinate the Subordinated Liabilities to the Senior Liabilities regardless of the date upon which any of the Senior Liabilities or the Subordinated Liabilities arise or of any fluctuations in the amount of any of the Senior Liabilities outstanding.
Priorities not affected. Except as otherwise provided in this Agreement the priorities referred to in Clause 2 (Ranking and Priority) will:
(a) not be affected by any reduction or increase in the principal amount secured by the Shared Transaction Security or the Super Senior Additional Security in respect of the Liabilities owing to the Primary Creditors or by any intermediate reduction or increase in, amendment or variation to any of the Debt Documents, or by any variation or satisfaction of, any of the Liabilities or any other circumstances;
(b) apply regardless of the order in which or dates upon which this Agreement and the other Debt Documents are executed or registered or notice of them is given to any person; and
(c) secure the Liabilities owing to the Primary Creditors in the order specified, regardless of the date upon which any of the Liabilities arise or of any fluctuations in the amount of any of the Liabilities outstanding. 24. COMMON INSTRUCTING GROUP – PARI PASSU CREDITORS
Priorities not affected. Except as otherwise provided in this Deed the priorities referred to in Clause 3 will:
(a) not be affected by any amendment or variation to any of the Finance Documents, or by any variation or satisfaction of, any of the Liabilities;
(b) apply regardless of the order in which or dates upon which the Finance Documents and this Deed are executed or registered or notice of them is given to any person;
(c) secure the Liabilities in the order specified, regardless of the date upon which any of the Liabilities arise or of any fluctuations in the amount of any of the Liabilities outstanding; and
(d) not postpone or subordinate the Liabilities (or any part thereof) to any other liabilities of any member of the Group.
Priorities not affected. Except as otherwise provided in this Deed, the ranking and priorities referred to in Clause 8 (Ranking of Secured Obligations and Priorities) will:
23.1 not be affected by any reduction or increase in the principal amount secured by the Transaction Security or by any amendment or variation to any of the Relevant Documents or by any variation or satisfaction of any of the Secured Obligations or any other circumstances whatsoever; apply regardless of the order in which or dates upon which the Relevant Documents are executed or registered or notice of them is given to any person; and
23.2 apply regardless of the date upon which any of the Secured Obligations arise or of any fluctuations in the amount of any of the Secured Obligations outstanding.
