Examples of Instructing Group in a sentence
Senior Lenders and Senior Secured Bridge/Notes Creditors No Senior Lender or Senior Secured Bridge/Notes Creditor Senior Secured Creditor may take any Enforcement Action under paragraph (c) of the definition thereof without the prior written consent of an Instructing Group.
If any Transaction Security is held by a Creditor other than the Security Agent, then Creditors may only enforce that Transaction Security in accordance with instructions given by an Instructing Group in accordance with this Clause (and for this purpose references to the Security Agent shall be construed as references to that Creditor).
If the Agent gives notice of its resignation pursuant to Clause 20(10) (Resignation), then, unless Section 20(10)(b) applies, any reputable and experienced bank or other financial institution may be appointed as a successor thereto by an Instructing Group during the period of such notice but, if no such successor is so appointed, the Agent may appoint such a successor itself.
If the Transaction Security is being enforced pursuant to Clause 12.2 (Enforcement instructions), the Security Agent shall enforce the Transaction Security in such manner (including, without limitation, the selection of any administrator of any Debtor to be appointed by the Security Agent) as the Instructing Group shall instruct or, in the absence of any such instructions, as the Security Agent sees fit, subject to the terms of the relevant Transaction Security Documents.
If the Transaction Security is being enforced pursuant to Clause 9.1 (Enforcement Instructions), the Security Agent shall enforce the Transaction Security in such manner (including, without limitation, the selection of any administrator (or any analogous officer in any jurisdiction) of any Debtor to be appointed by the Security Agent) as instructed by the Instructing Group.
