Common use of Privacy/Confidential Information Clause in Contracts

Privacy/Confidential Information. Each party shall keep confidential and shall not divulge to any party, without the other party’s prior written consent, the price paid by the Purchaser for the Mortgage Loans, except to the extent that it is reasonable and necessary for either party to do so in working with legal counsel, auditors, taxing authorities or other governmental agencies. Each party shall maintain physical, electronic and procedural safeguards to store, dispose of (if applicable) and secure nonpublic personal information to protect it from unauthorized access, use, disclosure, alteration, loss and destruction. The safeguards used by each party to protect nonpublic personal information shall be no less than those used by such party to protect its own confidential information. Each party shall control access to, and, to the extent reasonably possible, use of, nonpublic personal information and, except as required by law or as otherwise may be specifically permitted, or under § 502(e) of the Gxxxx-Xxxxx-Xxxxxx Act (P.L. 106-102) (15 U.S.C. § 6802(e)),and accompanying regulations, or by this Agreement, permit access only to individuals who need access in connection with the duties to be performed under this Agreement and shall require such individuals to maintain the confidentiality of such nonpublic personal information. For purposes of this paragraph, the term "nonpublic personal information" shall have the meanings set forth in § 509 of the Gxxxx-Xxxxx-Xxxxxx Act (P.L. 106-102) (15 U.S.C. § 6809) and implementing regulations thereof. The restrictions set forth herein shall survive termination of this Agreement.
