Privacy Notices. Administrative Agent shall provide to Employer notices reflecting Administrative Agent’s privacy policies and practices as required by State and/or federal law and regulation. Administrative Agent shall also provide Employer with a model HIPAA Notice of Privacy Practices template, which shall describe the existence of the Organized Health Care Arrangement permitting the sharing of PHI between the Medical Plan and the HRA plan and Health FSA. The Employer shall be responsible for customizing and finalizing and distributing such HIPAA Notice of Privacy Practices to participants. The parties agree to amend this Agreement as is necessary, from time to time, to comply with the requirements of the privacy rules under HIPAA and other applicable laws. In accordance with the requirements of HIPAA, the parties shall execute a HIPAA Business Associate Contract (BAC), which will be annexed hereto as Exhibit D and incorporated herein.
