Common use of Pro Forma Financial Statements; Financial Statements; Projections Clause in Contracts

Pro Forma Financial Statements; Financial Statements; Projections. The Administrative Agent shall have received (i) the Pro Forma Financial Statements, (ii) the audited consolidated balance sheets of Holdings and its Subsidiaries as of December 31, 2010, December 31, 2011, and December 31, 2012 and the related consolidated statements of income and of cash flows for the fiscal years ended on such dates and (iii) the unaudited consolidated balance sheet of Holdings and its Subsidiaries as of February 28, 2014 and the related consolidated statement of income and of cash flow for the fiscal month ended on such date.

The Administrative Agent shall have received (i) the Pro Forma Financial Statements, (ii) the audited consolidated balance sheets of Holdings EDH and its Subsidiaries as of December 31, 20102011, December 31, 20112012, and December 31, 2012 2013 and the related consolidated statements of income and of cash flows for the fiscal years ended on such dates and (iii) the unaudited consolidated balance sheet of Holdings EDH and its Subsidiaries as of February 28January 31, 2014 and the related consolidated statement of income and of cash flow for the fiscal month ended on such date.
