Procedure for Amendments. The Issuer and the VPS Trustee (acting on behalf of the VPS Noteholders) may agree to amend this Agreement or the VPS Conditions or waive a past default or anticipated failure to comply with any provision in the VPS Conditions or this Agreement without prior approval of the affected VPS Noteholders in accordance with Clause 4 (VPS Noteholders’ decisions), provided that: (i) such amendment or waiver is not detrimental to the rights and benefits of the affected VPS Noteholders in any material respect, or is made solely for the purpose of rectifying obvious errors and mistakes; or (ii) such amendment or waiver is required by applicable law, a court ruling or a decision by a relevant authority.
