Procedure of Dissolution. (a) Upon dissolution of the Company, the Members or such other person or persons as are designated by them shall proceed to wind up the business and affairs of the Company in accordance with the terms of this Agreement and the requirements of the Act. Procedure of Dissolution. Upon dissolution of the Company, ------------------------ the Managers or other person as is designated by the then remaining Members shall proceed to wind up the business and affairs of the Company in accordance with the terms of this Agreement and the requirements of the Act. A reasonable amount of time shall be allowed for the period of winding up. This Agreement shall remain in full force and effect during the period of winding up.

  • Effect of Dissolution Except as otherwise provided in this Agreement, upon the dissolution of the Company, the Sole Member shall take such actions as may be required pursuant to the Act and shall proceed to wind up, liquidate and terminate the business and affairs of the Company.
