Common use of Procedures Memorandum Clause in Contracts

Procedures Memorandum. The Relevant Issuer shall furnish a copy of the Procedures Memorandum from time to time in effect to the Fiscal Agent and the Registrar. The parties agree that all issues of Notes shall be made in accordance with the Procedures Memorandum unless the Relevant Issuer, the Guarantor (in the case of Guaranteed Notes), the Relevant Dealer(s), the Fiscal Agent and, in the case of Registered Notes, the Registrar agree otherwise in respect of any issue.
