Procedures Regarding Opinions and Rulings. (a) If Adient notifies Xxxxxxx Controls that it desires to take one of the actions described in Section 6.01(d) (a “Notified Action”) during the Restricted Period, Xxxxxxx Controls and Adient shall reasonably cooperate to attempt to obtain the Ruling or Unqualified Tax Opinion referred to in Section 6.01(d), unless Xxxxxxx Controls shall have waived the requirement to obtain such Ruling or Unqualified Tax Opinion.
