Proceedings and Documentation. All corporate and other proceedings of the Company in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in form and substance to the Purchaser and the Purchaser’s counsel, and the Purchaser and the Purchaser’s counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Purchaser is entitled and as may be reasonably requested.
Proceedings and Documentation. The Lenders shall have received such instruments and other documents as they may reasonably request in connection with the making of such Loans, and all such instruments and documents shall be in form and content satisfactory to the Lenders.
Proceedings and Documentation. All corporate and other proceedings of Weedmaps in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in form and substance to LCLL and LCLL’s counsel, and LCLL and LCLL’s counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which LCLL is entitled and as may be reasonably requested.
Proceedings and Documentation. All corporate and other proceedings in connection with the transactions contemplated by this Agreement, and all documents and instruments incident thereto, shall be satisfactory in substance and form to the Stockholders and Stockholders' counsel, and the Stockholders and Stockholders' counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Stockholders is entitled and as may be reasonably requested.
Proceedings and Documentation. All corporate and other proceedings of MEI in connection with the Merger and the other transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in form and substance to Marani, and their counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which Marani is entitled and as may be reasonably requested.
Proceedings and Documentation. All corporate and other proceedings of the Company and its stockholders in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in substance and form to the Parent and the Parent's counsel, and the Parent and the Parent's counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Parent is entitled and as may be reasonably requested.
Proceedings and Documentation. The Bank shall have received such instruments and other documents as it may reasonably request in connection with the making of such Loan, and all such instruments and documents shall be in form and content satisfactory to the Bank.
Proceedings and Documentation. All corporate and other proceedings of Trinity in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in form and substance to Skyline and Skyline’s counsel, and Skyline and Skyline’s counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which Skyline is entitled and as may be reasonably requested.
Proceedings and Documentation. The Bank shall have received such instruments and other documents as it may reasonably request in connection with the making of such Loan, and all such instruments and documents shall be in form and content satisfactory to the Bank. The Bank’s making of a Loan to the Borrower on any subsequent Borrowing Date shall constitute an acknowledgment that all of the conditions set forth in section 4.2(e) have been satisfied or waived.
Proceedings and Documentation. All corporate and other proceedings of HLBC in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in form and substance to the iSafe Entities, the iSafe Holders, and their counsel, and they have received all such receipts, documents, and instruments, or copies thereof, certified if requested, to which the iSafe Entities is entitled and as may be reasonably requested.
