Common use of Proceedings and Documentation Clause in Contracts

Proceedings and Documentation. All corporate and other proceedings of the Company in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in form and substance to the Purchaser and the Purchaser’s counsel, and the Purchaser and the Purchaser’s counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Purchaser is entitled and as may be reasonably requested.

Proceedings and Documentation. All corporate and other proceedings of the Company and its Stockholders in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in substance and form and substance to the Purchaser and the Purchaser’s 's counsel, and the Purchaser and the Purchaser’s 's counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Purchaser Company is entitled and as may be reasonably requested.

All corporate and other proceedings of the Company Purchasers in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedingsproceeding, shall be reasonably satisfactory in substance and form to Sellers and substance to the Purchaser and the Purchaser’s Sellers’ counsel, and the Purchaser Sellers and the Purchaser’s Sellers’ counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Purchaser is Sellers are entitled and as may be reasonably requested.

All corporate and other proceedings of each Seller and the Company Shareholder in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be reasonably satisfactory in substance and form to Purchasers and substance to the Purchaser and the Purchaser’s Purchasers counsel, and the Purchaser Purchasers and the Purchaser’s Purchasers’ counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Purchaser is Purchasers are entitled and as may be reasonably requested.

All corporate and other proceedings of the Company Purchaser in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedingsproceeding, shall be reasonably satisfactory in substance and form to Sellers and substance to the Purchaser and the Purchaser’s Sellers’ counsel, and the Purchaser Sellers and the Purchaser’s Sellers’ counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Purchaser is Sellers are entitled and as may be reasonably requested.

All corporate and other proceedings of the Company Company, the Corporate Stockholder, and the Stockholders' Group in connection with the transactions contemplated by this Agreement, and all documents and instruments incident to such corporate proceedings, shall be satisfactory in substance and form and substance to the Purchaser and the Purchaser’s 's counsel, and the Purchaser and the Purchaser’s 's counsel shall have received all such receipts, documents and instruments, or copies thereof, certified if requested, to which the Purchaser Company is entitled and as may be reasonably requested.
