Common use of Proceedings, Quorum and Manner of Acting Clause in Contracts

Proceedings, Quorum and Manner of Acting. In the absence of appropriate resolxxxxx of the Board of Trustees, each committee may adopt such rules and regulations governing its proceedings, quorum and manner of acting, as it shall deem proper and desirable. In the absence of any member of any such committee, the members thereof present at any meeting, whether or not they constitute a quorum may appoint a member of the Board of Trustees to act in the place of such absent member.
