Proceedings; Receipt of Documents. All proceedings in connection with the making of such Loan and the other transactions contemplated by this Agreement and the other Loan Documents, and all documents incidental hereto and thereto, shall be satisfactory to the Agents and their counsel, and the Agents and such counsel shall have received such other agreements, instruments, approvals, opinions and other documents, each in form and substance satisfactory to the Agents, as any Agent may reasonably request.

Proceedings; Receipt of Documents. All proceedings in connection with the making of such Loan or the issuance of such Letter of Credit and the other transactions contemplated by this Agreement and the other Loan Documents, and all documents incidental hereto and thereto, shall be satisfactory to the Agents and their counsel, and the Agents and such counsel shall have received all such information and such counterpart originals or certified or other agreements, instruments, approvals, opinions and other copies of such documents, each in form and substance satisfactory to the Agents, as any Agent the Agents or such counsel may reasonably request.

All proceedings in connection with the making of such Revolving Loan and the other transactions contemplated by this Agreement and the other Revolving Loan Documents, and all documents incidental hereto and thereto, shall be satisfactory to the Agents Agent and their its counsel, and the Agents Agent and such counsel shall have received all such information and such counterpart originals or certified or other agreements, instruments, approvals, opinions and other copies of such documents, each in form and substance satisfactory to the AgentsAgent, as any the Agent or such counsel may reasonably request.
