Common use of Product Licenses Clause in Contracts

Product Licenses. The Borrower and each of the Subsidiaries shall (i) maintain each Permit, including each Regulatory Authorization, from, or file any notice or registration in, each jurisdiction in which the Borrower or any of the Subsidiaries are required to obtain any Permit or Regulatory Authorization or to file any notice or registration, in order to sell or distribute the Products and (ii) promptly provide evidence of same to the Lender.

Product Licenses. The Borrower and each of the Subsidiaries Subsidiary shall (i) maintain each Key Permit, including each Regulatory Authorization, from, or file any notice or registration or other application in, each jurisdiction in which the Borrower or any of the Subsidiaries are required to obtain any Key Permit or Regulatory Authorization or to file any notice or registration, in order to sell or distribute the Products and (ii) promptly provide evidence of same to the LenderProducts.

Product Licenses. The Borrower Holdings and each of the its Subsidiaries shall (i) maintain each material Permit, including each Regulatory Authorization, from, or file any notice or registration in, each jurisdiction in which the Borrower Holdings or any of the its Subsidiaries are required to obtain any Permit or Regulatory Authorization or to file any notice or registration, in order to sell or distribute the Products (excluding Products in development (other than those requiring an IDE) or discontinued Products) and (ii) upon request of the Administrative Agent, promptly provide evidence of same to the Lendersame.

The Borrower and each of the Subsidiaries shall (i) maintain each Permit, including each Regulatory Authorization, fromKey Permit in, or file any notice or registration in, each jurisdiction in which the Borrower or any of the its Subsidiaries are required to obtain any Key Permit or Regulatory Authorization or to file any notice or registration, in order to sell or distribute the Products and (ii) promptly provide evidence of same to the LenderLender upon request.
