Product Registration. Registration requires a valid Bitdefender Account that includes a valid email address for receiving Updates, Upgrades, other notices and a valid product license. The Bitdefender Account is mandatory for the use of the Bitdefender Product, as stated in the Product Documentation. For all Bitdefender Products excepting Bitdefender Security for AWS registration requires a valid product serial number available in the transaction documentation from the Bitdefender distributor or reseller from which You obtained the Bitdefender Product. This control helps ensure that the Bitdefender Product operates only on validly licensed Computers, virtual machines and mobile devices and that validly licensed users receive services. The Bitdefender Account is necessary for the activation of the online features, as stated in the Product Documentation. The Bitdefender Security for AWS, it is a subscription-based service offered by Bitdefender for Amazon EC2 customers. If you purchase directly from Bitdefender, You must have an Amazon Payments account with a valid credit card necessary for the monthly billing. You are not provided with or required to use a license key. The Bitdefender Product features and terms are presented on the Bitdefender website, e-shop or the applicable transaction documentation. The information given (name, email address, password), during initial setup, if collected, it will be used as an account name under which You may elect to receive services and/or under which You may use certain features of the Bitdefender Product. You may change and Bitdefender strongly recommends you, the password at any time after installation of the Product.
Product Registration. In order to receive Services, Updates and technical support, a Representative must register with Trend Micro and activate the Software and Services. Registration enables us to contact You and to ensure that only validly licensed entities receive Maintenance and other Services. Registration requires an entity name and address, a contact name, a valid product serial number, and a valid email address for renewal and other legal notices. Failure to register does not diminish Your warranty rights, but Trend Micro cannot provide access to Services, Updates or technical support without registration.
Product Registration. PRONOVA has the unconditional (except for a fee payable by PRONOVA to Xxxxxx), irrevocable and indefeasible right and option to acquire all right, title and interest to any and all Registrations for the Product from Xxxxxx as set forth in Section 3.1(c), and will have such right until such time as PRONOVA acquires the same from Xxxxxx. PRONOVA shall transfer to RELIANT good and valid legal and beneficial title to the Registration for the Product, free and clear of any liens, security interests, licenses, obligations, transfer agreements, claims, royalties or encumbrances (other than this Agreement). The only pending Registrations in respect of the Product held by PRONOVA or Xxxxxx with respect to the Territory is NDA # 21-654 for Omacor®. There are no proceedings pending or, to PRONOVA’s knowledge, threatened, or circumstances in existence which could result in the revocation, cancellation, material delay or suspension of any of the Registrations for the Product, whether while pending or following approval.
Product Registration. For SIRONA’s warranty purposes, Xxxxxxxxx shall provide the following information to SIRONA in connection with each Product order, within five (5) business days of Xxxxxxxxx’x sale of any Contractual Product:
8.5.1 name, address, telephone and fax numbers of end-user;
8.5.2 names of other contact person(s);
8.5.3 quantity and description of all of end-user’s Contractual Product(s);
8.5.4 all serial numbers of end-user’s Contractual Product(s);
8.5.5 date of shipment; and
Product Registration. RESELLER is required to register all Customers of Products with FAST in accordance with then current FAST registration procedures.
Product Registration. 8.1 It is acknowledged by both parties hereto that the import and distribution of Product in the Territory may be dependent upon prior registration of such Product with the appropriate local government authority in the Territory. DISTRIBUTOR shall investigate and so advise OWNER in this regard and, should Product registration or other market authorization be required to import and sell Product in the Territory, DISTRIBUTOR acknowledges and agrees that it shall be responsible for securing the registration of the Product or other market authorization, as the case may be, for, and on behalf of, and in the name of, OWNER.
8.2 In furtherance of the foregoing, DISTRIBUTOR agrees to use its best efforts to arrange for and complete the registration of the Product in OWNER’s name in a timely manner, which in any event must occur within ninety (90) days of the Effective Date of this Agreement. DISTRIBUTOR shall pay all costs relating to such registration of Product, in accordance with all applicable laws, rules and regulations of the Territory and shall indemnify and save harmless OWNER in respect to the same. DISTRIBUTOR shall keep OWNER informed in writing of the progress of any required application for registration, and any proposed submissions relating to such Product registration must be forwarded to OWNER for its approval prior to being submitted to the appropriate government authority. Thereafter, upon registration of the Product, DISTRIBUTOR will inform OWNER and provide copies and official government receipts in respect thereto. Upon receiving the official registration documents and the receipts evidencing payment in full for such registration by DISTRIBUTOR, in OWNER’s name, OWNER will reimburse DISTRIBUTOR for the cost of such Product registration. DISTRIBUTOR agrees that it will be responsible for the cost of any Product registration that is submitted without the prior approval of OWNER.
8.3 OWNER shall retain title to all Product registrations and Trademarks.
8.4 To the extent that Product registration has been affected in the name of DISTRIBUTOR, DISTRIBUTOR will co-operate fully in the transfer of such registrations to OWNER or any Person designated by OWNER.
Product Registration. To qualify for FLIR’s 2-5-10 Limited Warranty, Purchaser must fully register the Qualifying Product directly with FLIR at xxx.xxxx.xxx WITHIN SIXTY (60) DAYS of the date the Qualifying Product was purchased by the first retail customer (the “Purchase Date”). QUALIFYING PRODUCTS THAT ARE NOT REGISTERED ON-LINE WITHIN SIXTY (60) DAYS OF THE PURCHASE DATE WILL HAVE A LIMITED ONE (1) YEAR WARRANTY FROM THE ORIGINAL DATE OF PURCHASE.
Product Registration. (a) After the Closing, Bioglan will initially market the Products under the Authorizations, such Authorizations having been varied to permit the same. Such distribution relationship shall continue until Bioglan obtains regulatory authorization from the FDA to market the Products under its own authorizations (the "New Authorizations").
(b) To permit Bioglan to distribute and sell the Products, Bioglan shall, promptly following signature hereof at its own expense, file all necessary instruments with the FDA to obtain a waiver to vary Medicis' Authorizations to allow Bioglan to sell the Products.
(c) Bioglan shall, at its sole expense, file a product license application with the FDA for each of the Products. Medicis shall, at its expense, file all necessary instruments with the FDA to authorize Bioglan to cross-refer to the data contained in the Authorizations in order for Bioglan to obtain the New Authorizations.
(d) Within thirty (30) days after the Closing Date, the parties shall each appoint a primary liaison (the "Medical Affairs Liaison") to communicate with each other with regard to the actions and information required pursuant to this Section 5.8 and shall notify the other of the name, address and telephone number of the person so appointed.
(e) During the period that Bioglan is selling the Products under the Authorizations, each party shall advise the other as set forth in (i) and (ii) below of any adverse drug experience associated with the Products. In addition, Bioglan shall report all adverse drug experience information it obtains, including that obtained from Medicis, to the FDA as set forth in Section 5.8(f) below:
(i) Any adverse drug experience information obtained by a party shall be reported to Bioglan's Medical Affairs Liaison, by telephone or in writing (only by facsimile) within three (3) working days after the first party's initial receipt of the information; provided, however, that any report of a serious unlabelled side effect or any report of a death shall be reported to Bioglan's Medical Affairs Liaison within twenty-four (24) hours of receipt of the information; and
(ii) The reports of adverse drug experience shall contain the following information: (i) the date the report was received; (ii) the name of the reporter; (iii) the address and telephone number of the reporter; (iv) the patient details; (v) the suspected drug; (vi) other concomitant therapy; (vii) a description of the adverse drug experience; and (viii) any additional re...

Distributor shall keep Rubyfield informed in writing of the progress of any required application for registration, and any proposed submissions relating to such Product registration must be forwarded to Rubyfield for its approval prior to being submitted to the appropriate government authority. This Limited Product Warranty, and Stream33’s obligations arising pursuant to this Limited Warranty are expressly conditioned upon the Product being registered with Stream33 (the “Stream33 Registration”) within the earlier of (i) sixty (60) days following date the equipment is first installed by a licensed contractor; or (ii) ninety (90) days from the date of purchase (the “Registration Deadline”).
