Product Suppliers. In order to fulfill their respective obligations ----------------- under this Article 10, and without prejudice to the terms and conditions of this Article 10, Adolor and GSK shall each be responsible for: (a) entering into appropriate supply agreements with Product Suppliers; (b) transferring technology to such Product Suppliers; (c) where such Product Suppliers have not already been appointed as of the Effective Date, obtaining approval from the other Party, such approval not to be unreasonably withheld, refused, conditioned or delayed and, for the avoidance of doubt, this requirement for consent shall apply to the appointment of all Product Suppliers under or in connection with this Agreement except Product Suppliers appointed by GSK in the ROW; and (d) obtaining any necessary regulatory approval for the use of such Product Suppliers. Adolor shall make payments to Product Suppliers under its control for Adolor Products for sale and distribution in the United States. GSK shall make payments to Product Suppliers under its control for GI Products for sale and distribution in the United States and for Collaboration Products for sale and distribution in the ROW.
