Production Files. AUTHOR may purchase text production files in Microsoft Word format and cover production files in PDF format of the WORK within one year after termination of this Agreement. The fees for AUTHOR’s purchase of such files will be two hundred fifty dollars ($250). Upon such purchase by AUTHOR, BOOK COUNTRY will remove all references to BOOK COUNTRY in such digital files prior to delivering them to AUTHOR.
Production Files. 4.1. Design Specifications Within a reasonable time following the Effective Date, Com21 shall furnish to Manufacturer any Design Specifications, Manufacturing Specification and any Manufacturing Standard, in the form historically used by Com21 to produce each Product. Manufacturer acknowledges that, although Com21 will furnish the Design Specifications, Manufacturing Specification and any Manufacturing Standard in the form historically used by Com21 to produce each Product, Com21 makes and has made no representations or warranties with respect to Manufacturer's ability to produce Products or achieve any particular results from its use of such Design Specifications, Manufacturing Specifications and any Manufacturing Standards furnished by Com21.

Production Files. All Production Files are and shall remain the exclusive property of Designer. Published websites are not counted as production files and all content published in conjunction with a website project shall become the sole property of Client. Designer retains limited copyright as described in section IP 1.1 where they may use final website design in their portfolio for promotional purposes.

Related to Production Files

  • Receivable Files Complete There exists a Receivable File pertaining to each Receivable. Related documentation concerning the Receivable, including any documentation regarding modifications of the Contract, will be maintained electronically by the Servicer in accordance with customary policies and procedures. With respect to any Receivables that are tangible chattel paper, the complete Receivable File for each Receivable currently is in the possession of the Custodian.

  • Patient Records Upon termination of this Agreement, the New PC shall retain all patient dental records maintained by the New PC or the MSO in the name of the New PC. During the term of this Agreement, and thereafter, the New PC or its designee shall have reasonable access during normal business hours to the New PC's and the MSO's records, including, but not limited to, records of collections, expenses and disbursements as kept by the MSO in performing the MSO's obligations under this Agreement, and the New PC may copy any or all such records.

  • Maintenance and Safekeeping of the Receivable Files The Custodian will accurately maintain and keep current the Receivable Files, including any computer systems on which the Receivable Files are electronically stored, all in a manner that will permit the Servicer and the Issuer to comply with this Agreement and the Trust Collateral Agent to comply with the Indenture. The Custodian will act with reasonable care, using that degree of skill and attention that a commercial bank acting in the capacity of a custodian would exercise with respect to files relating to comparable automotive or other receivables that it services or holds for itself or others. The Custodian shall promptly report to the Trust Collateral Agent in writing any failure on its part to hold the Receivable Files and maintain its accounts, records and computer systems as herein provided and promptly take appropriate action to remedy any such failure.

  • Custody of Receivable Files To assure uniform quality in servicing the Receivables and to reduce administrative costs, the Issuer hereby revocably appoints the Servicer, and the Servicer accepts such appointment, to act for the benefit of the Issuer and the Indenture Trustee as custodian of the following documents or instruments which are hereby constructively delivered to the Indenture Trustee, as pledgee of the Issuer, as of the Closing Date with respect to each Receivable:
