Production File. The Production File or Files and all information and intellectual property rights of the Customer that are contained therein and/or that are related thereto, including as defined above, shall be and shall remain the property of the Customer alone, and there is and shall be no claim, right or argument of any kind whatsoever against the Customer for the Customer's intellectual property that is in the Production File, in whole or in part. The Production File or Files, and all of the aforesaid information, shall be returned to the Customer by the Supplier upon termination of this Agreement for any reason whatsoever, or upon termination of the orderly manufacture of the Product the subject of the Production File, whichever is the earlier. The Supplier undertakes to make no use, except as set out explicitly in this Agreement, of the Production File or Files and any of the above information, or any other equipment belonging to the Customer and/or any intellectual property right belonging to the Customer. The aforesaid shall not derogate from the Supplier's right to keep a copy of the Production File in its possession in order to perform its undertakings under this Agreement and/or in order to document the reason for the Supplier's actions, provided that the Production File, as aforesaid, and all of the portions of it, shall be subject to all of the Supplier's non-disclosure undertakings as set out in this Agreement.

Production File. Solectron shall maintain, for each Product, a Production File that (i) includes the Design Specifications and final Manufacturing Standards; and (ii) complies with all relevant provisions of this Agreement, including the Manufacturing Specifications. Solectron shall promptly identify to Trimble any Production File information that Solectron considers Solectron's Proprietary Information.
Production File. 5.1 Until the completion of the development work and in every case not later than 90 days from the date of supplying the second Beta Printer, I.T.S. will prepare for Nur and will hand it a production file of the B.B. Printer (hereinafter: "production file"). 5.2 In addition to the aforesaid in clause 5.1 above I.T.S. will prepare at every stage of the stages of development as detailed in Appendix B a partial production file (hereinafter: "the partial production file"). The partial production file for each of the development stages will be handed to Nur as soon as possible, but in any case not later than 30 days from the end of that stage. 5.3 The production file and/or the partial production file will be prepared and include details of the components, the raw materials and processes required in order to prepare and start production of the B.B. Printer, and all this as detailed in Appendix D to this agreement, and all the know-how required in order to continue the development work, preparation and start of production of the
Production File. Manufacturer shall maintain, for each Product, a Production File that (i) includes the Design Specifications and final Manufacturing Standards; and (ii) complies with all relevant provisions of this Agreement, including the Manufacturing Specifications. Manufacturer shall promptly identify to Com21 any Production File information that Manufacturer considers Manufacturer's Proprietary Information.
Production File. 3.1 The Contractor confirms that together with its signature on this agreement it received the production files of the B.B. printers, the Fresco printers and of the laminating machine, hereinafter: "THE EXISTING PRODUCTION FILES"). 3.2 In addition to the aforesaid in clause 3.1 above, the Contractor will prepare a production file for every NUR printer, the work for which will be given to him by NUR (hereinafter: "THE FUTURE PRODUCTION FILES"). 3.3 The existing production files and/or the future production files (hereinafter together: "THE PRODUCTION FILES") will be prepared and include details of the elements, the materials and the processes required in order to produce the NUR printers, by NUR and/or by anyone on the behalf of NUR, which has the know-how in performing mechanical production work and as detailed in APPENDIX 3 of this Agreement. 3.4 In addition to the aforesaid in this clause 3 above, as long as the Contractor performs the work for NUR, the Contractor will update the production files for every case of changes in their details, and this not later than 21 days from the date of implementing every such change. 3.5 Without derogating from the aforesaid in clauses 2.2 and 2.3 above, NUR will have sole ownership on the production files. NUR's right to receive the production files will be valid also after termination of the this Agreement, and this for any reason including due to its cancellation. 3.6 Without derogating from the aforesaid, the Contractor will supply NUR all the drawings and explanations required for NUR in order to prepare the literature and documentation for the NUR printers.

  • Database File The Servicer will provide the Successor Servicer with a magnetic tape (in a format reasonably acceptable to the Indenture Trustee and the Servicer) containing the database file for each Contract (i) as of the Initial Cutoff Date, (ii) the Subsequent Cutoff Date, (iii) thereafter, as of the last day of the preceding Due Period on each Determination Date prior to a Service Transfer and (iv) on and as of the Business Day before the actual commencement of servicing functions by the Successor Servicer following the occurrence of a Service Transfer.

  • Receivable Files Complete There exists a Receivable File pertaining to each Receivable. Related documentation concerning the Receivable, including any documentation regarding modifications of the Contract, will be maintained electronically by the Servicer in accordance with customary policies and procedures. With respect to any Receivables that are tangible chattel paper, the complete Receivable File for each Receivable currently is in the possession of the Custodian.

  • Client Records 25.2.1 CONTRACTOR shall prepare and maintain accurate and 26 complete records of clients served and dates and type of services provided 27 under the terms of this Agreement in a form acceptable to ADMINISTRATOR.

  • Project Records Borrower shall: Make and keep books, records, and accounts, in such reasonable detail, so as to fully, accurately, and fairly reflect the activities of Borrower. Record the Project’s assets, liabilities, revenues, expenses, receipts and disbursements in separate accounts from any other assets, liabilities, revenues, expenses, receipts and disbursements of Borrower so as to permit the production of a Statement of Financial Position, a Statement of Profit and Loss (Statement of Activities), and a Statement of Cash Flows for Borrower in which the activities of Borrower are separately identifiable from the activities of the Operator, unless Borrower is also Operator. Devise and maintain a system of internal accounting controls sufficient to provide reasonable assurances that: Transactions are executed, and access to assets is permitted, only in accordance with Xxxxxxxx’s authorization; Transactions are accurately and timely recorded to permit the preparation of quarterly and annual financial reports in conformity with applicable Program Obligations; Transactions are timely recorded in sufficient detail so as to permit an efficient audit of the Borrower’s books and records in accordance with Generally Accepted Auditing Standards (GAAS), Generally Accepted Government Auditing Standards (GAGAS), and other applicable Program Obligations; and Transactions are timely recorded in sufficient detail so as to maintain accountability of the Borrower’s assets. The recorded accountability for assets shall be compared with the existing assets at reasonable intervals, but not less than annually, and appropriate action shall be taken with respect to any differences. Make the books, records and accounts of Borrower available for inspection by HUD or its authorized representatives, after reasonable prior notice, during normal business hours, at the Project or other mutually agreeable location or, at HUD’s request, shall provide legible copies of such documents to HUD or its authorized representatives within a reasonable time after HUD or its authorized representative makes a request for such documents. Include as a requirement in any operating or management contract that the books, records, and accounts of any agent of Borrower, as they pertain to the operations of the Project, shall be kept in accordance with the requirements of this Section 19 and be available for examination by HUD or its authorized representatives after reasonable prior notice during customary business hours at the Project or other mutually agreeable location or, at HUD’s request, the Management Agent shall provide legible copies of such documents to HUD or its authorized representatives within a reasonable time after HUD or its authorized representative makes the request.

  • Development Records Each Party shall maintain complete, current and accurate records of all Development activities conducted by it hereunder, and all data and other information resulting from such activities. Such records shall fully and properly reflect all work done and results achieved in the performance of the Development activities in good scientific manner appropriate for regulatory and patent purposes. Each Party shall document all non-clinical studies and Clinical Trials in formal written study reports according to Applicable Laws and national and international guidelines (e.g., ICH, cGCP, cGLP, and cGMP).

  • Personnel File An employee, or the President of the Union, or his/her designate, with the written authority of the employee, shall be entitled to review the employee's personnel file(s), both paper and, if applicable, electronic, in the office in which the file is normally kept, in order to facilitate the investigation of a grievance. The employee or the President, as the case may be, shall give the Employer adequate notice prior to having access to such file(s).

  • Samples The Contractor shall submit the following samples of Materials and relevant information to the Authority’s Engineer for pre-construction review: (a) manufacturer's test reports and standard samples of manufactured Materials; and (b) samples of such other Materials as the Authority’s Engineer may require.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • Patient Records Upon termination of this Agreement, the New PC shall retain all patient dental records maintained by the New PC or the MSO in the name of the New PC. During the term of this Agreement, and thereafter, the New PC or its designee shall have reasonable access during normal business hours to the New PC's and the MSO's records, including, but not limited to, records of collections, expenses and disbursements as kept by the MSO in performing the MSO's obligations under this Agreement, and the New PC may copy any or all such records.

  • Student Records The School shall maintain student records for current and former students in accordance with the requirements of State and federal law, including the Family Education Rights and Privacy Act, 20 U.S.C. § 1232g, as may be amended from time to time.
