Product(s) Changes. Supplier reserves the right, at any time, to make changes to any Product(s) whenever such changes are (a) required for safety, (b) required in order to facilitate performance in accordance with specifications, or (c) such that they represent non-substantial substitutions and modifications not adversely affecting performance in accordance with applicable Product(s) performance specifications. Supplier will inform Distributor within a reasonable time of any changes under this Section 3.3.

Product(s) Changes. Product ModificationsM7 reserves the right to modify, alter, improve, delete or change any and all Products covered by this Agreement. However, this agreement will cover the sales of Products as they may be modified, altered, improved, or changed. Responsibilities of distributor Distributor shall have the following responsibilities: Marketing Efforts To exert its best to advertise, demonstrate market, promote, distribute, and solicit orders for the products. Promotional Cooperation To cooperate with and assist M7 in promotional and selling campaign including attending appropriate trade shows. Complaints To promptly report to M7 any complaints relating to sales of the Products. Business Expenses To pay all of the expenses for the manufacture, fabrication of the products as defined in appendix A. Inventory Distributor shall maintain a reasonable inventory if the products in order to satisfy Distributor’s anticipated sales and where applicable, support thereof. To pay all the salaries of the personnel & workers assigned to Distributors. Staffing and Training Distributor will staff and train employees as required to demonstrate, market, promote, distribute and support M7 Products. Competitive Products To provide written notification to M7 prior to marketing and distributing Products which compete directly with Products sold by M7. Product(s) Changes. ABAXIS shall have the right to make changes, substitutions and modifications in the Products and the package inserts. Such changes, substitutions or modifications, other than mandatory field change orders required for equipment safety or proper operation, will not materially and adversely affect the form, fit or function of the Products and will be operationally compatible with prior versions of the Products. ABAXIS shall inform the Distributor of any change in the form, fit or function of the Product at least thirty (30) days prior to shipment of such Product.

  • Product Changes Vocera shall have the right, in its absolute discretion, without liability to End User, to update to provide new functionality or otherwise change the design of any Product or to discontinue the manufacture or sale of any Product. Vocera shall notify End User at least 90 days prior to the delivery of any Product which incorporates a change that adversely affects form, fit or function (“Material Change”). Vocera shall also notify End User at least 90 days prior to the discontinuance of manufacture of any Product. Notification will be made as soon as reasonably practical for changes associated with regulatory or health and safety issues.

  • Business Changes Change in any material respect the nature of the business of the Borrower or its Subsidiaries as conducted on the Effective Date.

  • Program Changes Contractor agrees to inform the County of any alteration in program or service delivery at least thirty (30) days prior to the implementation of the change, or as soon as reasonably feasible.

  • Service Changes PBI may modify its Service by giving written notice to you (a “Service Change Notice”), which will state whether the change is material. After receiving a Service Change Notice, if the change is material, you may terminate Service by giving us a termination notice at the address indicated in Section 21 or you may create a case at ▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/▇▇/▇▇▇▇▇▇▇-▇▇.▇▇▇▇ (follow the instructions under “how to create a case”).

  • Products Products available under this Contract are limited to Software, including Software as a Service, products and related products as specified in Appendix C, Pricing Index. Vendor may incorporate changes to their product offering; however, any changes must be within the scope of products awarded based on the posting described in Section 1.B above. Vendor may not add a manufacturer’s product line which was not included in the Vendor’s response to the solicitation described in Section 1.B above.
