Service Changes. PBI may modify its Service by giving written notice to you (a “Service Change Notice”), which will state whether the change is material. After receiving a Service Change Notice, if the change is material, you may terminate Service by giving us a termination notice at the address indicated in Section 21 or you may create a case at xxxxxxxxxxx.xxx/xx/xxxxxxx-xx.xxxx (follow the instructions under “how to create a case”).

Service Changes. The Service Provider will be obliged to perform only those Services set forth in the Services Schedule. The Service Provider will not be obliged to change the Services unless it has agreed to do so pursuant to an amendment to the Services Schedule. The Service Provider will reasonably accommodate requests to change the Services that the Service Provider determines in good faith to be non-material taking into account the effort and costs required to effect the requested change; the Client recognizes that isolated requests for changes or adjustments, when combined with other such requests, may in the aggregate have a material effect. Any change to the Services agreed by the Service Provider (a “Service Change”) will be set forth in an amendment to the Services Schedule signed by both Parties; each such amendment will specify (i) the timeline and dependencies, and the partiesrespective obligations, for implementing the Service Change and (ii) any implementation or additional ongoing fees and expenses that may be required to effect such Service Change. The foregoing process is the “Change Control Process.”

The foregoing process is the “Change Control Process.” Client requests to change the Services necessitated by a change to the Client’s Organic Documents, Prospectus, Offering Documents or Policies and Procedures, or a change in applicable Law, will be subject to the Change Control Process. Without prejudice to the Change Control Process, the Client will promptly notify the Service Provider of any changes (or pending changes) in applicable Law with respect to the Client that are relevant to the Services.

Service Changes. (a) Subject to Section 2.8(b) and Section 2.8(c) (as applicable), the Service Provider shall be required to provide the Services only for the benefit of the Service Recipient, and if any Service was provided by the Service Provider to the Animal Health Business or the Retained Business, as applicable, only of the same scope, and only for the same volume of Services (plus any organic internal growth in such volume that is reasonably expected as of the Effective Date), and only to the same locations, that such Services were provided by the Service Provider to the Animal Health Business or the Retained Business, as applicable, in the ordinary course as of the Effective Date. (b) To the extent that Service Recipient desires a change to the scope or volume of a Scheduled Service from the scope or volume at which such Scheduled Service was provided by the Service Provider to the Animal Health Business or the Retained Business, as applicable, in the ordinary course as of the Effective Date (a “Service Change”), it shall submit such a written request for such Service Change to the Service Provider in the form set forth in Exhibit F. Any Service Change shall only be implemented upon written consent of the Service Provider, to be granted in its sole discretion; such consent will include, if applicable, a good faith agreement in writing by both Parties of the increase or decrease in Service Fees as a result of such Service Change. All Costs incurred by Service Provider (other than those already included in any changed Service Fees) in providing such changed scope or volume of Scheduled Services shall be borne by the Service Recipient. (c) To the extent that Service Recipient desires to change the location to which: (i) any Scheduled Service is provided from the location to which such Scheduled Service was provided by the Service Provider to the Animal Health Business or the Retained Business, as applicable, in the ordinary course as of the Effective Date; or (ii) any In-Flight Project, BAU Service or Program Service is initially provided (each of (i) and (ii) an “Approved Service Change”), it shall submit written notice of such Approved Service Change to Service Provider, and the Parties will work together in good faith to implement such Approved Service Change, including agreeing in good faith in writing as to the increase or decrease in Service Fees as a result of such Approved Service Change. Service Changes. (a) Any Service may be terminated, in whole or in part, upon the mutual written consent of the Parties, and in such case, the applicable Service shall terminate on the date mutually agreed upon in writing by Provider and Recipient, Exhibit A shall be deemed amended to delete such Service as of such date and (subject to Section 2.3(c)) this Agreement shall be of no further force and effect with respect to such Service, except as to liabilities or obligations accrued prior to the date of termination of such Service. (b) Any Service may be terminated, in whole or in part, by Recipient upon written notice (a “Termination Notice”) to Provider at least ninety (90) days (or such fewer days as specified in Exhibit A) prior to such termination, and in such case, unless a Withdrawal Notice is timely delivered to Provider as set forth below, the applicable Service (or part thereof) shall terminate on the termination date specified in the Termination Notice (or such other date mutually agreed upon in writing by Provider and Recipient), Exhibit A shall be deemed amended to delete such Service (or part thereof) as of such date and (subject to Section 2.3(c)) this Agreement shall be of no further force and effect with respect to such Service (or part thereof), except as to liabilities or obligations accrued prior to the date of termination of such Service. Within thirty (30) days following receipt of a Termination Notice, Provider shall provide Recipient with written notice (a “Response Notice”) regarding (i) whether the termination of the applicable Service will require the termination or partial termination of, or otherwise affect the performance of, any other interdependent Services; (ii) any Early Termination Costs that will arise from the termination of such applicable Service and any such interdependent Services (including, for clarity, any such costs arising out of legally binding commitments made to, or in respect of, personnel or Subcontractors, for whom more than ninety (90) days’ (or such fewer days as specified in Exhibit A) notice of termination is required), including an estimate of the amount thereof; and (iii) in respect of any termination of a Service in part, the extent to which the Service Fee for such Service shall reduce (if at all) pursuant to Section 3.1(g). With respect to any Response Notice, Recipient may withdraw its Termination Notice by delivering a written notice (a “Withdrawal Notice”) to Provider within five (5) days following the receipt ...
