Common use of Products Liability Clause in Contracts

Products Liability. A. With respect to products or processes resulting from a Party’s participation in this Agreement, each Party that markets, distributes, or otherwise provides such product, or a product designed or produced by such a process, directly to the public will be solely responsible for the safety of the product or process. B. In the event the U.S. Government incurs any liability based upon Partner’s, or Partner’s Related Entity’s, use or commercialization of products or processes resulting from a Party’s participation under this Agreement, Partner agrees to indemnify and hold the U.S. Government harmless against such liability, including costs and expenses incurred by the U.S. Government in defending against any suit or claim for such liability.
