Products & Services. (This Part A shall apply to all supply of Products and Services under the Agreement.)

Products & Services. Contractor is contracted to provide Members any and all tasks associated with the appropriate Construction Task Catalog (the “CTC”) for the region in Ohio the Contractor is authorized to perform through the applicable Job Order Contracting Contracts (“JOC Contract”). The table below provides a summary of the scope of services Contractor was awarded. These JOC Contracts define the Products & Services Contractor is making available to Members and in which geographic regions (“Region”).

Products & Services. At a minimum Supplier shall offer the System the lowest net prices and/or the highest discounts it makes available to any other entity, including other Universities, hospitals, government agencies or entities where the economic and service requirements are substantially similar. If Supplier catalog or list price of Products and Services is reduced, System shall benefit from a corresponding price reduction. Such decreases shall be passed along to Locations immediately.

Products & Services. To the knowledge of the Shareholders and the Company, based upon the investigations described in paragraph (d) below, all software, computer-controlled devices and services currently being sold, licensed, distributed or otherwise provided by the Company, or currently under development by the Company, are Millennium Compliant. To the knowledge of the Shareholders and the Company, based upon the investigations described in paragraph (d) below, except as set forth on SCHEDULE 3.32(c), all software, computer-controlled devices and services sold, licensed, distributed or otherwise provided by the Company, prior to the date hereof, are Millennium Compliant, and, if not Millennium Compliant, are no longer under warranty, extended maintenance obligation or similar obligation that would require the Company to repair, replace or otherwise be responsible for such noncompliance. To the knowledge of the Shareholders and the Company, based upon the investigations described in paragraph (d) below, to the extent any liabilities may arise due to the failure of the Company's software or computer-controlled devices to be Millennium Compliant, such liabilities would not have a Material Adverse Effect on the Company or its business.
