Common use of Professional Advisers Clause in Contracts

Professional Advisers. of the legal, accountancy and other professional advisers instructed by the Issuer in connection with the establishment and maintenance of the Programme, the preparation of the Base Prospectus (and each (if any) Drawdown Prospectus), the relevant Prospectus Supplement/Final Terms, the relevant Pricing Annex or the issue and sale of any Notes or the compliance by the Issuer with its obligations hereunder or under any Relevant Agreement (including, without limitation, the provision of legal opinions and comfort letters as and when required by the terms of this Agreement or any Relevant Agreement);

Professional Advisers. of the legal, accountancy and other professional advisers instructed by the Issuer in connection with the establishment and maintenance of the Programme, the preparation of the Base Prospectus (and each (if any) Drawdown Prospectus), the relevant Prospectus Supplement/Final Terms, the relevant Pricing Annex Information Memorandum or the issue and sale of any Notes or the compliance by the Issuer with its obligations hereunder or under any Relevant Agreement (including, without limitation, the provision of legal opinions and comfort letters as and when required by the terms of this Agreement or any Relevant Agreement);
