Advice a. The Purchaser hereby confirms and represents to the Assignee that the Purchaser has sought obtained and relied upon his own independent advice and judgment and has not relied upon any representation statement or advice from the Assignee, the Assignee’s Solicitors or the Auctioneer or any of them or their respective agents, officers or servants.
b. The Purchaser is advised to appoint Solicitors to act on his/her/its behalf and in the event no solicitor is appointed by the Purchaser, the Purchaser is deemed to have elected not to be represented in this sale.

To provide advice, counsel or opinion regarding the tax, financial, investment, securities law or insurance implications and consequences of the formation, funding and ongoing administration of the Issuer, including income, gift and estate tax issues, insurable interest issues, doing business or other licensing matters and the initial and ongoing selection and monitoring of financing arrangements.

A.2.1. The Supplier guarantees to be an experienced professional in the IT field. The Supplier, in his capacity as a professional specialist in the field, will give the Purchaser all the advice and useful information, send him any warnings about the risks of any kind related to the execution of the Contract.
A.2.2. The Supplier must provide Purchaser with all the necessary advice, warnings and recommendations, with regard to the potential limits of its IT Services.
A.2.3. The Suppliermustindicate theconditionsofcompatibilityofthe ITServiceswithany other existing Purchaser IT system to which it mustintegrate, and at Purchaser's request with any future system, whether or not it is supplied by the Supplier.
X.0.0. Xx any event, the Supplier expressly acknowledges having a duty to alert Purchaser for the smooth running of the performance of the Contract. In the event of slippage, it must immediately trigger exceptional meetings of the Steering Committee. At the end of thesemeetings, the Partiesmaydecidetoputinplaceanypalliativemeasuresoastoavoid anyslippage in theperformance of the Contract, both in terms of schedule and in terms of compliance with quality of service levels.

All advice communicated by Xxxxxx Xxxxxxx with respect to any Account opened by Customer hereunder is incidental to the conduct of Xxxxxx Xxxxxxx'x business as a futures commission merchant and such advice will not serve as the primary basis for any decision made by or on behalf of Customer in respect of the Account, regardless of whether Customer relies on the advice of Xxxxxx Xxxxxxx in making any such decision. Customer acknowledges that Xxxxxx Xxxxxxx and its managing directors, officers, employees and affiliates may take or hold positions in, or advise other customers concerning, Contracts that are the subject of advice from Xxxxxx Xxxxxxx to Customer. The positions and advice of Xxxxxx Xxxxxxx and its managing directors, officers, employees and affiliates may be inconsistent with or contrary to positions of, and the advice given by, Xxxxxx Xxxxxxx to Customer.
