Professional Edition. The Professional Edition is available separately. It contains a dynamic link library (DLL) which allows custom software applications to control up to three Cyclone units.

Professional Edition. If you purchased a Professional Edition of the Software, this Section 3(c) applies. Your license permits you to use the Software for personal purposes, or for commercial purposes by integrating the Software into a commercial simulator or commercial simulator kit to sell as a package to third-parties. Your license does not permit you to use the Software on a device that is used in a business. As such, along with the rights granted in Section 2, Licensor grants to Licensee a non- exclusive, non-transferable, world-wide license, to integrate, market and distribute the Software to customers when included as part of the Licensee Standalone Products.
Professional Edition. You may install the Software on one (1) Designated Machine per license.
Professional Edition. BETA NOTICE: This is a BETA version of the Software and may have serious bugs which may cause damage to your computer and data. It is intended for qualified beta testers only and must not be used in production systems.
Professional Edition. This edition is intended for professional use. It is the reference edition in terms of functions. The specific sales’ terms and conditions attached to each Software edition are stated in the proposals that Famic provides to its customers prior to the purchase. The said sales’ terms and conditions become an integral part of the EUSLMA. Famic holds the absolute and unconditional right to change the pricing structure and the scope of each Software edition at any time. Famic may also decide to discontinue a Software edition. Licensee acknowledges and agrees that pretending to be qualified for an Educational Edition if Licensee actually is not, constitutes a breach of this EUSLMA. In this case, Licensee agrees to immediately pay to Famic the difference between the amount paid for the Educational Edition and the amount that should have been paid for the equivalent Professional Edition, as well as any additional amount that may have been incurred by Famic including legal fees in order to bring Licensee’s situation to a non-breach. At its own discretion, Famic may decide to terminate the License with Licensee after the payment of the due amounts.

The Superintendent’s membership in other professional organizations will be considered annually and may be approved at the discretion of the school board.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Professional Liability insurance shall be written with limits no less than $1,000,000 per claim and $1,000,000 policy aggregate limit, as applicable.

  • Professional Services Warranty 5.1 Oracle warrants that Professional Services will be provided in a professional manner consistent with industry standards. Customer must notify Oracle of any warranty deficiencies within 60 days from performance of the deficient Professional Services. 5.2 ORACLE DOES NOT WARRANT THAT THE PROFESSIONAL SERVICES WILL BE PERFORMED ERROR- FREE OR UNINTERRUPTED, THAT ORACLE WILL CORRECT ALL PROFESSIONAL SERVICES ERRORS, OR THAT THE PROFESSIONAL SERVICES WILL MEET CUSTOMER’S REQUIREMENTS OR EXPECTATIONS. ORACLE IS NOT RESPONSIBLE FOR ANY ISSUES RELATED TO THE PERFORMANCE, OPERATION OR SECURITY OF THE PROFESSIONAL SERVICES THAT ARISE FROM CUSTOMER DATA OR THIRD PARTY APPLICATIONS OR PROFESSIONAL SERVICES PROVIDED BY THIRD PARTIES. 5.3 FOR ANY BREACH OF THE PROFESSIONAL SERVICES WARRANTY, CUSTOMER’S EXCLUSIVE REMEDY AND ORACLE’S ENTIRE LIABILITY SHALL BE THE CORRECTION OF THE DEFICIENT PROFESSIONAL SERVICES THAT CAUSED THE BREACH OF WARRANTY, OR, IF ORACLE CANNOT SUBSTANTIONALLY CORRECT THE DEFICIENCY IN A COMMERCIALLY REASONABLE MANNER, CUSTOMER MAY END THE DEFICIENT PROFESSIONAL SERVICES AND ORACLE WILL REFUND TO THE CUSTOMER THE FEES FOR THE TERMINATED PROFESSIONAL SERVICES THAT CUSTOMER PRE-PAID TO ORACLE FOR THE PERIOD FOLLOWING THE EFFECTIVE DATE OF TERMINATION. 5.4 TO THE EXTENT NOT PROHIBITED BY LAW, THIS WARRANTY IS EXCLUSIVE AND THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS, INCLUDING FOR SOFTWARE, HARDWARE, SYSTEMS, NETWORKS OR ENVIRONMENTS OR FOR MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE.

  • Professional Development Program (a) The parties agree to continue a Professional Development Program for the maintenance and development of the faculty members' professional competence and effectiveness. It is agreed that maintenance of currency of subject knowledge, the improvement of performance of faculty duties, and the maintenance and improvement of professional competence, including instructional skills, are the primary professional development activities of faculty members. (b) Information collected as part of this program shall be the sole property of the faculty member. This information or any judgments arising from this program shall not be used to determine non-renewal or termination of a faculty member's contract, suspension or dismissal of a faculty member, denial of advancement on the salary scale, nor affect any other administrative decisions pertaining to the promotion or employment status of the faculty member. (c) A joint advisory committee consisting of three regular faculty members who shall be elected by and are P.D. Committee Chairpersons and three administrators shall make recommendations for the operation, financing and management of the Professional Development Program.
