7.2 SOHT may terminate this Agreement if the Student fails to participate in the Program in accordance with the Application and Program Terms and Conditions, subject to having provided the Student with written notice of the alleged breach and allowing the Student a reasonable amount of time to remedy the breach.
7.3 Despite any other clause in this Agreement, SOHT reserves the right to cancel or amend the Program for operational reasons at any time in its sole discretion. Should the Program be cancelled by SOHT for any reason the Student must refund any funds paid to them under the program unless already incurred and non-refundable, as evidenced to SOHT’s reasonable satisfaction. Program Deliverables. At a minimum, DWR will provide the RTDF Steering Committee the Program Deliverables listed below, subject to modification by decision of DWR, and with the concurrence of the RTDF Steering Committee and the MWQI SPC:
(a) Monthly status reports and an assessment of recent MWQI Program expenditures in relation to the program budget at the last week of the month or at the next scheduled RTDF Steering Committee meeting.
(b) All MWQI Program WQA data collected will be made available through the Water Data Library or the California Data Exchange Center. All MWQI Program final RTDF-CP reports will be posted on the MWQI website.
(c) MWQI RTDF-CP monitoring and forecasting reports shall be completed in a timely manner given staffing and financial constraints.
Program Deliverables. Below is a list of likely or indicative Deliverables to be created by the parties during the Project. The specific deliverables to be created will be described in the applicable SOW’s. • Operational Efficiency o Recommended standards for all store tasks (activities making up less than 20% of workload will likely be reasonable expectancy estimates) o Recommend standards for increasing productivity and reducing idle time o Recommend processes to improve product flow, truck processing and load replenishment o Recommend elimination of non value added administrative functions • Shrink o Review and recommend changes to parameter settings in your POS system o Recommend enhancements to your shrink dashboard o Recommend changes in receiving procedures to improve shrink results o Evaluate product placement and adjacencies and recommend changes for the purposes of improving shrink results Additional deliverables include periodic (e.g. weekly or bi-weekly) program status reports, program update documents, and a final report. Any SOW may expand the Deliverables provided under this Agreement.
