Common use of Programming is Owned by Customer; License Clause in Contracts

Programming is Owned by Customer; License. Customer is the owner of all title, right, and interest to all Programming of all manner created or produced or otherwise delivered to Company in connection with this Agreement, including, without limitation all Intellectual Property Rights therein. Customer hereby grants to the Company an exclusive, royalty free license to the Programming and all Intellectual Property Rights therein for the Term of this Agreement for use in connection with the operation of the Platform, including, without limitation, the rights to reproduce, perform, display, transmit, publish, and upon further written consent of the Customer, to also promote, sell and distribute, via the Platform the Programming for access and use by Customers. All Intellectual Property Rights in the Platform, and all improvements and/or developments thereof, shall remain the sole property of the Company.
