Prohibition on Solicitation of Employees, Agents or Independent Contractors After Termination. During the term of Executive's employment by the Company and for a period of six months following the termination of Executive's employment by the Company, Executive will not solicit any of the employees, agents, or independent contractors of the Company or its subsidiaries or affiliates to leave the employ of the Company or its subsidiaries or affiliates. However, Executive may solicit any employee, agent or independent contractor who voluntarily terminates his employment with the Company or its subsidiaries or affiliates after a period of 180 days have elapsed since the termination date of such employee, agent or independent contractor. None of the foregoing shall be deemed a waiver of any rights and remedies the Company may have under applicable law.
