PROOF OF EXECUTION OF INSTRUMENTS AND OF HOLDING OF MORTGAGE NOTES; RECORD DATE. Subject to Sections 8.1 and 8.2, the execution of any instrument by a Noteholder or his agent or proxy may be proved in accordance with such reasonable rules 66 and regulations as may be prescribed by the Indenture Trustee or in such manner as shall be satisfactory to the Indenture Trustee. The holding of Mortgage Notes shall be proved by the Mortgage Note register or by a certificate of the Registrar thereof. Golden State Petroleum, as agent of the Owners, may set a record date for purposes of determining the identity of Holders entitled to vote or consent to any action referred to in Section 9.1, which record date may be set at any time or from time to time by notice to the Indenture Trustee, for any date or dates (in the case of any adjournment or resolicitation) not more than 60 days nor less than five days prior to the proposed date of such vote or consent, and thereafter, notwithstanding any other provisions hereof, only Holders on such record date shall be entitled to so vote or give such consent or to withdraw such vote or consent.

  • Provision of Information Necessary for Preparation of Securities Registration Statements, Amendments and Other Materials The Manager, its officers and employees will make available and provide accounting and statistical information required by the Fund in the preparation of registration statements, reports and other documents required by federal and state securities laws and with such information as the Fund may reasonably request for use in the preparation of such documents or of other materials necessary or helpful for the underwriting and distribution of the Fund’s shares.
