Proof of Execution of Instruments and of Holding of Senior Notes; Record Date. Subject to Sections 5.1 and 5.2, the execution of any instrument by a Senior Noteholder or his agent or proxy may be proved in accordance with such reasonable rules and regulations as may be prescribed by the Trustee or in such manner as shall be satisfactory to the Trustee. The holding of Senior Notes shall be proved by the Security Register or by a certificate of the Security Registrar. The Issuer may set in advance a record date for purposes of determining the identity of Holders of Senior Notes entitled to vote or consent to any action referred to in Section 6.1, which record date may be set at any time or from time to time by notice to the Trustee, for any date or dates (in the case of any adjournment or resolicitation) not more than 60 days prior to the date on which such notice is sent to the Trustee; provided that the Issuer may not set a record date for, and the provisions of this Section shall not apply with respect to, the giving or making of any notice, declaration, request or direction referred to in Article IV. If any record date is set pursuant to this Section, the Holders of outstanding Senior Notes on such record date, and no other Holders, shall be entitled to take the relevant action, whether or not such Holders remain Holders after such record date; provided further that no such action shall be effective hereunder unless taken on or prior to the 180th day after such record date by Holders of the requisite principal amount of outstanding Senior Notes on such record date. Nothing in this Section shall be construed to render ineffective any action duly taken by Holders of the requisite principal amount of outstanding Senior Notes on the date such action is taken. Promptly after any record date is set pursuant to this Section, the Issuer, at its own expense, shall cause notice of such record date and, the proposed action by Holders to be given in writing to the Trustee and to each Holder of Senior Notes in the manner set forth in Section 15.4.
