Common use of Property Financial Statements Clause in Contracts

Property Financial Statements. Seller has delivered to Buyer prior to the Effective Date such audited separate property financial statements with respect to the Property as are sufficient to satisfy the requirements of SEC Regulation S-X ss.210.3-14 as may be in Seller's possession. To the extent Seller does not have such audited financial statements, Seller shall cooperate with Buyer to facilitate the preparation at Buyer's sole expense, prior to Closing (or at Buyer's election thereafter) of such financial statements as are necessary in order for Buyer to satisfy the requirements of SEC Regulation S-X ss.210.3-14.
